Terms of Service

Effective: January 1, 2024

2.1 Service Agreement

WebCraftVis ("Provider") provides digital engineering, web development, and technical consulting services ("Services") as described in individual project proposals and statements of work. Engagement with any Service constitutes acceptance of these Terms of Service.

2.2 Scope & Deliverables

Project scope is defined in the applicable Statement of Work (SOW) or project proposal. Any work outside the agreed scope constitutes a change request and will be quoted separately. Deliverables become the client's property upon full payment. The Provider retains the right to display completed work in portfolio materials unless explicitly prohibited in writing.

2.3 Payment Terms

Invoices are due net 14 days from the date of issue unless otherwise specified in the SOW. Late payments accrue interest at 1.5% per month. Projects may be paused if payment is overdue by more than 21 days. All quoted prices exclude applicable VAT (moms) which will be added in accordance with Swedish tax law.

2.4 Intellectual Property

Upon full payment, all intellectual property rights in deliverables transfer to the client. The Provider retains ownership of pre-existing tools, frameworks, and methodologies used in the development process. The Provider grants the client a perpetual, non-exclusive license to use any such pre-existing components integrated into the deliverables.

2.5 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the agreement for a period of 36 months. Exclusions apply to information that is publicly available, independently developed, or required to be disclosed by law.

2.6 Limitation of Liability

The Provider's total liability under any engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim. The Provider shall not be liable for indirect, consequential, or punitive damages. The Provider is not responsible for third-party service outages, hosting failures, or issues arising from client-managed infrastructure.

2.7 Termination

Either party may terminate the agreement with 14 days written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date. The Provider will deliver all completed work and source materials within 5 business days of receiving final payment.
